These Terms of Service (these “Terms”) govern your access to and use of the website located at https://controlcfo.com and any related pages, content, and features made available by us (collectively, the “Website”). The Website is operated by RFCE LLC, a Wyoming limited liability company doing business as Control CFO (“Control CFO,” “we,” “us,” or “our”). By accessing or using the Website, you (“you” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Website.
1. Acceptance of These Terms.
By accessing or using the Website, you represent that you have the legal capacity to enter into a binding agreement and that you agree to these Terms on behalf of yourself or, if you are using the Website on behalf of an organization, on behalf of that organization. Your continued use of the Website following the posting of any revised Terms constitutes your acceptance of those revisions.
2. Scope of These Terms.
These Terms govern your use of the Website only. These Terms do not constitute an agreement for the provision of any accounting, bookkeeping, financial reporting, accounts receivable, collections, fractional chief financial officer, government contract compliance, or other professional services (collectively, the “Services”). Any engagement of Control CFO for Services is governed exclusively by a separate written engagement agreement, statement of work, or services agreement executed between Control CFO and the applicable client (each, an “Engagement Agreement”). In the event of any conflict between these Terms and an Engagement Agreement with respect to the subject matter of the Services, the Engagement Agreement controls.
3. No Professional Relationship or Advice Through the Website.
Your use of the Website, your submission of information through a contact or lead form, and your subscription to any newsletter or mailing list do not create any client relationship, fiduciary relationship, or professional engagement of any kind between you and Control CFO. No such relationship is formed until you and Control CFO execute an Engagement Agreement. Content made available on or through the Website is provided for general informational purposes only. Such content does not constitute legal, tax, accounting, audit, investment, or other professional advice, is not a substitute for advice from a licensed or qualified professional, and should not be relied upon as the basis for any business, financial, or compliance decision. Control CFO does not provide legal services, tax-return preparation, audit or attest services, or investment advice through the Website, and nothing on the Website should be construed as an offer to provide any service that Control CFO is not licensed or qualified to provide. You should consult your own attorney, certified public accountant, or other qualified advisor before acting on any information obtained through the Website.
4. Eligibility.
The Website is intended for use by businesses and by individuals who are at least eighteen (18) years of age. The Website is not directed to children, and we do not knowingly permit any person under the age of eighteen (18) to use the Website or to submit personal information through the Website. By using the Website, you represent and warrant that you meet these eligibility requirements.
5. Informational Nature of Website Content.
We attempt to keep the information on the Website accurate and current; however, we make no representation or warranty that any information on the Website is accurate, complete, reliable, current, or error-free. References to regulatory frameworks, including the Federal Acquisition Regulation, Defense Contract Audit Agency requirements, Small Business Innovation Research program requirements, indirect cost rate practices, tax thresholds, and similar matters, are provided for general illustration only; these frameworks change over time, and you must not rely on any such reference as a current or authoritative statement of any law, regulation, or requirement. We reserve the right to modify, suspend, or discontinue any portion of the Website at any time without notice.
6. Communications, Lead Forms, and Newsletter.
When you submit information through a contact or lead form, request a consultation, or subscribe to a newsletter or mailing list, you consent to our use of the information you provide in accordance with our Privacy Policy, and you consent to receive communications from us at the email address or telephone number you provide. We may use the information you submit to respond to your inquiry, to contact you regarding the Services, and to send you marketing communications consistent with applicable law. You may opt out of marketing emails at any time by following the unsubscribe instructions contained in those emails or by contacting us using the information in Section 17. Opting out of marketing communications does not affect transactional or administrative communications relating to an active Engagement Agreement.
7. Intellectual Property.
The Website and all content, features, and functionality made available on or through the Website, including all text, graphics, logos, designs, layouts, compilations, templates, frameworks, and software, together with the name “Control CFO” and all related names, logos, and service marks, are owned by Control CFO or its licensors and are protected by United States and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Website for your own internal and personal informational purposes. You shall not (i) reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any portion of the Website except as expressly permitted by these Terms; (ii) use any data mining, robots, scraping, or similar data gathering or extraction methods; (iii) remove, alter, or obscure any copyright, trademark, or other proprietary notice; or (iv) use any Control CFO name, logo, or service mark without our prior written consent.
8. Acceptable Use.
You agree to use the Website only for lawful purposes and in accordance with these Terms. You shall not (i) use the Website in any manner that violates any applicable federal, state, local, or international law or regulation; (ii) transmit any material that is defamatory, harassing, threatening, or otherwise objectionable; (iii) attempt to gain unauthorized access to, interfere with, damage, or disrupt any portion of the Website, any server on which the Website is stored, or any database or network connected to the Website; (iv) introduce any virus, malware, or other malicious or technologically harmful material; or (v) use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party’s use of the Website.
9. Third-Party Websites and Services.
The Website may contain links to third-party websites, resources, or services that are not owned or controlled by Control CFO. We provide these links for your convenience only, and the inclusion of any link does not imply our endorsement of the linked website or service. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party website or service. Your access to and use of any third-party website or service is at your own risk and is subject to the terms and policies of that third party.
10. Client Portal and Online Billing.
Control CFO may, in the future, make available a secured client portal, online account, online payment functionality, or similar features (collectively, the “Portal”). Any access to or use of the Portal will be subject to these Terms and to such additional terms, account registration requirements, and payment terms as we may present to you at the time the Portal is made available. If and when the Portal is made available, you will be responsible for maintaining the confidentiality of any account credentials, for all activity that occurs under your account, and for the accuracy of any payment information you provide. The provisions of this Section 10 describe functionality that is not currently active and that may be modified or withdrawn before launch.
11. Disclaimer of Warranties.
THE WEBSITE AND ALL CONTENT, INFORMATION, AND MATERIALS MADE AVAILABLE ON OR THROUGH THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONTROL CFO DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CONTROL CFO DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you.
12. Limitation of Liability.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTROL CFO, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CONTROL CFO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF CONTROL CFO ARISING OUT OF OR RELATING TO THESE TERMS AND YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). The limitations in this Section 12 apply to your use of the Website and do not modify the limitations of liability set forth in any Engagement Agreement, which govern the Services. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the foregoing limitations may not apply to you.
13. Indemnification.
You agree to indemnify, defend, and hold harmless Control CFO and its members, managers, officers, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or relating to (i) your violation of these Terms; (ii) your misuse of the Website; or (iii) your violation of any applicable law or the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.
14. Governing Law and Dispute Resolution.
These Terms and any dispute arising out of or relating to these Terms or the Website shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of laws principles. You agree that any action at law or in equity arising out of or relating to these Terms or the Website shall be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of, and venue in, those courts.
15. Changes to These Terms.
We may revise these Terms from time to time in our sole discretion. When we make changes, we will revise the “Last Updated” date at the top of these Terms and will post the revised Terms on the Website. Your continued use of the Website after the revised Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
16. Miscellaneous.
These Terms, together with our Privacy Policy and, where applicable, an Engagement Agreement, constitute the entire agreement between you and Control CFO with respect to your use of the Website and supersede all prior or contemporaneous understandings with respect to that subject matter. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, it shall be severed, and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment in violation of this Section 16 shall be void. We may freely assign these Terms. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
